1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Vyon Biolabs website and your purchase of any products from us. Vyon Biolabs is referred to as “we”, “us”, or the “Seller”, and you are referred to as “you”, the “Buyer”, or the “Researcher”.

By browsing this website, creating an account, or placing an order, you confirm that:

  • You have read, understood, and agree to be bound by these Terms
  • You have the legal capacity and authority to enter into this agreement
  • You accept our Privacy Policy, which forms part of these Terms

If you do not agree to these Terms, you must not use this website or place an order.

2. Eligibility & Researcher Verification

Access to our catalog is restricted. To browse products or place an order you must confirm that:

  • You are a qualified researcher, or are purchasing on behalf of a research institution, laboratory, or organisation
  • You intend to use the products exclusively for legitimate laboratory research

These confirmations are a condition of sale, not a formality. We reserve the right to:

  • Request additional documentation to verify your eligibility
  • Refuse, suspend, or cancel any order or account where eligibility cannot reasonably be verified
  • Decline to supply any individual or organisation at our sole discretion

3. Research Use Only — Restrictions on Use

All products sold by Vyon Biolabs are supplied strictly for laboratory and scientific research purposes.

Our products are not:

  • Dietary supplements, foods, or beverages
  • Cosmetics or personal care products

Our products must never be used for:

  • Human consumption, injection, ingestion, inhalation, or topical application
  • Animal consumption or veterinary use
  • Diagnostic, therapeutic, clinical, or medical purposes of any kind
  • Resale, repackaging, or redistribution for any of the above

No product has been evaluated or approved by the FDA or any equivalent regulatory authority. By placing an order you accept full and sole responsibility for the safe, lawful, and appropriate handling, storage, use, and disposal of the products, and for compliance with all laws applicable in your jurisdiction.

4. Accounts & Account Security

Certain features, including purchasing, require a registered researcher account. You agree to:

  • Provide accurate, current, and complete information at registration
  • Keep your account details up to date
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for all activity carried out under your account

Notify us immediately at ascendbiolabssupport@gmail.com if you suspect unauthorised use of your account. We may suspend or terminate any account that breaches these Terms, provides false verification information, or is used for prohibited purposes.

5. Products, Pricing & Availability

We make every effort to describe our products accurately, including purity, quantity, and specification. However:

  • Product images are illustrative and may differ from the item supplied
  • Availability is not guaranteed and stock may change without notice
  • All prices are listed in US dollars (USD) and exclude any applicable taxes or duties unless stated

We reserve the right to correct pricing or description errors, change prices, and modify or discontinue any product at any time without notice. Where a material pricing error is identified after an order is placed, we will contact you to confirm or cancel the order before dispatch.

6. Orders & Order Acceptance

Your order is an offer to purchase, not a completed contract. An order confirmation email acknowledges receipt only.

A binding contract of sale is formed when we dispatch the products to you. Until that point we may decline or cancel an order, in whole or in part, where:

  • Eligibility or verification requirements are not satisfied
  • Stock is unavailable or a pricing error has occurred
  • Payment cannot be authorised or fraud is suspected
  • The order appears intended for a prohibited use
  • Supply would breach any applicable law or shipping restriction

Where an order is cancelled by us after payment, you will receive a full refund to the original payment method.

7. Payment Terms

Payment is due in full at the time of order. By submitting payment details you confirm that you are authorised to use the payment method provided.

  • Payments are handled by PCI-compliant third-party processors; we do not store full card details
  • Orders are not dispatched until payment has cleared in full
  • You are responsible for any bank, currency conversion, or processing fees charged by your provider
  • You are responsible for any import duties, taxes, or customs charges applied in your destination country

Chargebacks raised without first contacting our support team may result in account suspension and refusal of future orders.

8. Shipping & Delivery

Orders are typically dispatched within one business day of payment clearing. Free shipping applies to orders over $250.

Delivery estimates

  • All shipping times are estimates only and are not guaranteed
  • Vyon Biolabs is not responsible for delays, losses, or damages caused by shipping carriers, customs authorities, or events outside our reasonable control

Your responsibilities

  • Providing a complete and accurate delivery address — we are not liable for orders lost due to incorrect address details
  • Ensuring the products may be lawfully imported and received at the delivery destination

Risk of loss passes to you on delivery to the carrier. If a shipment arrives damaged, contact us within 7 days of delivery with photographic evidence.

9. Returns, Refunds & Cancellations

Because our products are sensitive research compounds whose integrity cannot be verified once they have left our control, all sales are final and we are unable to accept returns of opened, used, or correctly supplied items.

We will replace or refund an order where:

  • The product supplied was incorrect
  • The product arrived damaged or compromised in transit
  • The order was not delivered and the carrier confirms it as lost

How to make a claim

  • Contact ascendbiolabssupport@gmail.com within 7 days of delivery
  • Include your order number and clear photographs of the product and packaging
  • Do not open or use the product if you intend to make a claim

Approved refunds are issued to the original payment method within 10 business days. Orders may only be cancelled before dispatch.

10. Certificates of Analysis & Product Information

Certificates of Analysis (COAs) are made available for our products and reflect third-party testing of the relevant batch at the time of analysis.

  • COAs are provided for informational and research reference purposes only
  • They do not constitute a warranty of fitness for any particular purpose
  • They do not imply approval for human or animal use

Product descriptions, technical data, and published research references are supplied for research context only and must not be interpreted as usage guidance, dosing information, or medical advice.

11. Intellectual Property

All content on this website — including the Vyon Biolabs name and logo, text, graphics, product photography, layout, and code — is owned by or licensed to Vyon Biolabs and protected by intellectual property law.

You may not copy, reproduce, republish, distribute, or commercially exploit any part of this website without our prior written permission. Nothing in these Terms grants you any licence or right to our trademarks or branding.

12. Prohibited Conduct

When using this website, you agree not to:

  • Provide false, misleading, or fraudulent verification or payment information
  • Purchase products for resale, redistribution, or any prohibited use
  • Attempt to gain unauthorised access to any part of the site, server, or account
  • Introduce malicious code, or scrape, harvest, or mine site data by automated means
  • Use the site in any way that breaches applicable law or infringes the rights of others

We may suspend or terminate access immediately, without notice, for any breach of this section.

13. Disclaimer of Warranties

To the fullest extent permitted by law, our products and this website are provided “as is” and “as available”, without warranties of any kind, whether express or implied.

We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure, or that any research outcome will be achieved through use of our products.

No advice or information obtained from us or through this website creates any warranty not expressly stated in these Terms.

14. Limitation of Liability & Indemnity

Limitation of liability

To the maximum extent permitted by law, Vyon Biolabs and its officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or research outcomes.

Our total aggregate liability arising from any order shall not exceed the amount you paid for the products giving rise to the claim.

We accept no liability whatsoever for any loss, injury, or damage resulting from misuse of our products, including any use in humans or animals, which is expressly prohibited under Section 3.

Indemnity

You agree to indemnify and hold harmless Vyon Biolabs against any claims, losses, liabilities, and legal costs arising from your breach of these Terms, your misuse of any product, or your violation of any applicable law.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law principles.

Binding arbitration

Any dispute arising out of or relating to these Terms or your purchase shall be resolved through binding arbitration where permitted by law, rather than in court. Where arbitration is not permitted, you agree to submit to the exclusive jurisdiction of the courts located in California.

16. General Provisions & Changes to These Terms

Changes — We may update these Terms at any time. Changes take effect when posted with a revised “Last Updated” date. Continued use of the site or placing a further order constitutes acceptance of the updated Terms.

Severability — If any provision is found unenforceable, the remaining provisions continue in full force.

No waiver — Our failure to enforce any provision does not waive our right to enforce it later.

Entire agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Vyon Biolabs.

Force majeure — We are not liable for failure to perform due to events beyond our reasonable control.
